Terms & Conditions

  1. Home
  2. Terms & Conditions

Last updated: 19 August 2026

These Terms & Conditions ("Terms") govern access to and use of the TeamWheels website at teamwheelsapp.com and of the TeamWheels employee carpooling platform (together, the “Service”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

Where TeamWheels and a customer have signed a separate subscription agreement, order form, or data processing agreement, that document prevails over these Terms in the event of a conflict.

1. Definitions

  • TeamWheels — the provider of the Service (“we”, “us”).
  • Customer — the organisation that subscribes to the platform for its staff.
  • User — any person who accesses the Service, including a Customer’s employees.
  • Platform — the TeamWheels carpooling and commute management application delivered within Microsoft Teams, together with its administration console.
  • Trip — a journey offered, requested, or shared by Users through the Platform.

2. Use of the website

The website is provided for information about our services. You may view and print its content for your own internal business use. You may not copy, republish, resell, scrape, or systematically extract the site or its content without our prior written permission, nor use it in any way that damages, overloads, or impairs it.

Content on this website — including guides, calculators, and blog articles — is general information, not legal, tax, HR, or financial advice. Savings and emissions figures are illustrative estimates that depend on your own inputs and circumstances.

3. The platform

3.1 Access

The Platform is made available to Users by their employer under a subscription. Authentication runs through the Customer’s Microsoft Entra ID (Azure AD) tenant; Users must keep their corporate credentials confidential and are responsible for activity carried out under their account.

3.2 Trial

Where a free trial is offered (currently 30 days), it is provided as-is, may be limited in features or volume, and may be modified or withdrawn for future subscriptions at any time. At the end of the trial the subscription continues only if the Customer has agreed to a paid plan.

3.3 Availability

We aim to keep the Platform available at all times but do not guarantee uninterrupted access. Planned maintenance is announced in advance where reasonably possible. Any committed service levels are those stated in the Customer’s subscription agreement.

3.4 Changes

We continuously improve the Platform and may add, modify, or remove features. We will not materially degrade the core functionality a Customer has paid for during their subscription term.

4. Acceptable use

Users must not:

  • use the Service unlawfully, or in breach of their employer’s own policies;
  • impersonate another person, or create trips or accounts that are false;
  • harass, discriminate against, or endanger other Users;
  • offer or arrange paid passenger transport, or use the Platform as a commercial taxi, VTC, or delivery service;
  • attempt to access, probe, or disrupt the Service or its underlying systems, or circumvent its security or usage limits;
  • upload malware, or content that is illegal, offensive, or infringes the rights of others;
  • extract or reuse data about other Users outside the purpose of arranging a shared commute.

We may suspend access where use of the Service breaches these Terms or presents a security or safety risk.

5. Carpooling — important

TeamWheels is a matching and coordination tool, not a transport provider. We do not operate vehicles, employ drivers, or organise transport. Trips are agreed directly between Users, who alone decide whether to travel together.

Drivers are solely responsible for holding a valid driving licence, keeping their vehicle roadworthy and lawfully insured for carrying passengers, complying with road traffic rules, and confirming that carpooling is permitted under their insurance policy. Cost sharing between Users must stay within genuine cost-sharing — the driver must not make a profit — and Users are responsible for the tax and social treatment of any amount shared or reimbursed.

To the fullest extent permitted by law, TeamWheels is not liable for the conduct of Users, for accidents, delays, injury, loss, or damage arising during or in connection with a Trip, or for any agreement made between Users.

6. Fees and payment

Subscription fees, seat counts, billing frequency, and payment terms are set out in the Customer’s order form or subscription agreement. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes, and invoices are payable within 30 days. Late payment may result in suspension of the Service after notice.

7. Intellectual property

The Service, including its software, interfaces, design, trade marks, and documentation, is and remains the property of TeamWheels and its licensors. Subscribing grants the Customer a non-exclusive, non-transferable right to use the Platform for its own internal business purposes during the subscription term. No other rights are granted.

Customer data — including employee and trip data submitted to the Platform — remains the property of the Customer. TeamWheels may use aggregated, anonymised statistics that cannot identify a Customer or any individual to operate and improve the Service.

8. Confidentiality

Each party will keep the other’s non-public information confidential, use it only for the purposes of the Service, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, independently developed, or required to be disclosed by law.

9. Data protection

Personal data is handled as described in our Privacy Policy . For data processed through the Platform, the Customer is the data controller and TeamWheels acts as processor under a data processing agreement that reflects Article 28 of the GDPR. A copy is available on request at contact@teamwheels.fr .

10. Warranties and disclaimers

We provide the Service with reasonable skill and care. Beyond that, and to the extent permitted by law, the Service is provided “as is”: we do not warrant that it will be error-free, uninterrupted, or that it will produce any particular level of participation, cost saving, or emissions reduction. Estimates shown in the Platform or in our calculators are indicative.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, goodwill, or data. Our total aggregate liability arising out of or in connection with the Service is limited to the fees paid by the Customer for the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

12. Term, suspension, and termination

Subscriptions run for the term stated in the order form. Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination, access to the Platform stops and Customer data is deleted or returned in line with our Privacy Policy and the data processing agreement.

We may suspend or terminate access to the website, or to a User’s account, where use breaches these Terms.

13. Third-party services

The Platform runs inside Microsoft Teams and relies on Microsoft services, including Microsoft Entra ID. Use of those services is governed by Microsoft’s own terms, and we are not responsible for their availability or performance. The website may link to third-party sites that we do not control or endorse.

14. Changes to these Terms

We may update these Terms. The date at the top of this page shows the latest revision. Where changes materially affect a Customer’s rights, we will give notice by email or through the Platform. Continued use after the change takes effect constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by French law. Unless the Customer’s subscription agreement provides otherwise, and subject to any mandatory consumer protection rules, the courts of France have exclusive jurisdiction over any dispute arising from them. The parties will attempt to resolve disputes amicably before starting proceedings.

16. General

If any provision of these Terms is found unenforceable, the remainder stays in force. A failure to enforce a right is not a waiver of it. Neither party is liable for delays caused by events beyond its reasonable control. The Customer may not assign these Terms without our written consent.
